This AGREEMENT is between the undersigned below and GDS Global Dynamic Services , with respect to the web design and marketing for Business Name stated above. Whereas, GDS is a web design & marketing company; Whereas, Client wishes GDS to provide web design and monthly marketing services, therefore, in consideration of the foregoing mutual covenants hereinafter set forth, the parties agree as follows:
DESCRIPTION OF WORK: GDS will provide client a website & management services based on the monthly package plan client chooses above. Client has 14 days to review after demo draft of website is available for review. The service fee will begin on or before the 14 days review period.
PAYMENT: Client agrees to pay GDS the setup fee monthly service fees depending on the plan chosen. Payment will be automatically withdraw monthly
PERMISSIONS AND RELEASES: The Client agrees to indemnify and hold harmless GDS against any and all claims, costs, and expenses, including attorney's fees, due to materials included in the Work at the request of the Client for which no copyright permission or previous release was requested or uses which exceed the uses allowed pursuant to a permission or release.
CANCELLATION: GDS requires a 14 days in advance written notice to cancel any monthly service package. Client is responsible for all final payments during that 14 days period.
COPYRIGHT NOTICE: Copyright is in GDS's name. Upon completion of Work and approval of the Client, the copyright will remain GDS's copyright. If client cancels service, client will have the option to buyout the website copyright for $395.00, all copyright will be transferred to client. The undersigned agrees to the terms of this agreement on behalf of his or her organization or business.
DEBIT/CREDIT AUTHORIZATION: Client hereby authorize Provider (GDS), or its designee to automatically withdraw the monthly payment for the services provided and any other amounts, including any and all loss or destruction waivers, taxes, insurance, noncompliance fees or other charges now due or hereafter imposed, by initiating debit entries to any bank or other accounts. The authority is to remain in full force and effect until all obligations of payments have been paid in full to GDS-Global Dynamic Services LLC. Per Additional Services are obligated per its terms and conditions when services are selected by Client. Furthermore, Client hereby authorize any bank or financial institution to accept any debit and credit imposed by Provider (GDS) for the amount.
